Richard Warke is a Vancouver based mining executive and the Chairman of Arizona Mining Inc., an exploration and development company based in Canada. The company’s world class Taylor Deposit is a zinc-lead-silver carbonate deposit that is being aggressively drilled.
Alongside Arizona Mining, Richard Warke currently serves as Executive Chair of NewCastle Gold Ltd., a company focused on exploring its multi-million ounce gold deposit in California.
These businesses are part of the Augusta Group of Companies, a conglomerate that Richard founded in 2006 and comprised of Arizona Mining, Titan Mining, NewCastle Gold Ltd. and Armor Minerals.
Richard has been responsible for the founding and success of several resource companies in the past. Previously in the Augusta Group was Augusta Resource Corporation, which sold for roughly $666 million in 2014, and Ventana Gold Corporation, which sold in 2011 for approximately $1.5 billion.
With more than 25 years of experience in the mining industry, Richard has been instrumental in raising over $1 billion dollars in equity for resource companies. Although his endeavors have primarily concentrated in the area of mining, Richard has also been involved with oil and gas, forestry, technology and manufacturing operations.
Richard Warke has established himself as a diligent and hardworking entrepreneur who is able to build successful and efficient mining operations. In addition, he is a sought-after voice in the mining industry who is often called upon by the media to offer industry guidance and expertise.
During a 2014 interview, when asked about what he has learned from his time in mining, Richard explained the importance of surrounding himself with like-minded, hard-working colleagues. “Like any business you cannot succeed unless you have a first class dedicated management team,” Richard explained. “People who know their craft and are not afraid to work together for a common cause. There is no doubt that any successes I have had would not have been possible without a full team effort.”
He is also outspoken on the topic of due diligence in regards to mining endeavors and advises those looking to expand into the sector to work in countries that have a positive attitude toward mining initiatives. Richard also reminds those within the industry to choose locations in jurisdictions that are politically stable.
Besides his experience in the mining sector, Richard also has businesses in the aviation and hospitality industries.
Mr. Gowans was formerly Co-President of Barrick Gold Corporation from July 2014 to August 2015 and Executive Vice President and Chief Operating Officer from January to July 2014. Recent prior roles include Managing Director of Debswana Diamond Company (Pty) Ltd., President and Chief Executive Officer of De Beers Canada Inc., Chief Operating Officer and Senior Vice President of International Nickel Indonesia tbk PT and Executive Vice President at Placer Dome Inc. Mr. Gowans has more than 30 years of experience in mineral exploration, mine feasibility studies, opening new mines (including Red Dog and Polaris), commissioning mine expansions and in the development of best practices in mine safety, mine operations and economic performance improvement. Mr. Gowans is a Professional Engineer and received a bachelor of applied science degree in mineral engineering from the University of British Columbia and attended the Banff School of Advanced Management.
Mr. Boehner served as the 53rd Speaker of the United States House of Representatives from 2011 to 2015. A member of the Republican Party, Boehner was the U.S. Representative from Ohio's 8th congressional district, serving from 1991 to 2015. He previously served as the House Minority Leader from 2007 until 2011, and House Majority Leader from 2006 until 2007. Following his career in government service, Mr. Boehner joined Squire Patton Boggs, a global law and public policy firm. He earned a Bachelor of Arts in business administration from Xavier University.

Previously, he was a Director of Global Capital Markets at Citigroup, Inc., a Managing Director of Paladin Capital Group, a Senior Vice President and Head of New Product Development at Gabelli Asset Management (now GAMCO Investors), a Managing Director in Corporate Finance for Rothschild Inc., and a Managing Director and Head of Public Finance Banking for Donaldson, Lufkin and Jenrette Securities Corporation. He is a graduate of the Kennedy School of Government at Harvard University and of Yale College where he graduated Cum Laude and was a Rhodes Scholar finalist.

Poonam Puri, Professor of Law and formerly Associate Dean at Osgoode Hall Law School and affiliated scholar to Davies Ward Phillips & Vineberg LLP, is one of Canada’s most respected scholars and commentators on issues of corporate governance, corporate law, securities law and financial regulation. In 2005, she was co-research director of the Task Force to Modernize Securities Legislation and also served as a member of the Ontario Securities Commission’s Investor Advisory Committee from 2005 to 2007. Professor Puri is a member of the Board of Directors of the Greater Toronto Airports Authority and also sits on the Board of Directors of Toronto’s Women’s College Hospital. Professor Puri has a Bachelor of Laws (LLB) degree from the University of Toronto, a Master of Laws (LLM) degree from Harvard Law School and is a member of the Institute of Corporate Directors.

Donald R. Taylor
Mr. Taylor has more than 25 years of mineral exploration experience with precious and base metals on five continents, taking projects from exploration to mine development. He has worked extensively for large and small cap companies, including BHP Minerals, Bear Creek Mining, American Copper and Nickel, Doe Run Resources, and Westmont Mining Company. Mr. Taylor has a Bachelor of Science degree in Geology from Southeast Missouri State University and a Master of Science degree from University of Missouri at Rolla. He is a Licensed Professional Geologist in several eastern and western states and a qualified person as defined by National Instrument 43-101.
Robert P. Wares

Professional geologist with more than 30 years’ experience in mineral exploration and research; currently Executive VP Exploration and Resource Development for Osisko Mining and director of several public mining companies; former Executive VP, COO and Founding Director of Osisko; previously, President and CEO of NioGold Mining Corporation, and Director and Audit Committee member of Augusta Resource Corporation. Mr. Wares holds a Bachelor’s Degree (Honours) in Geology and an Honorary Doctorate in Sciences from McGill University.
Ms. Winckler is a former mining and business executive with over 25 years of diversified experience in the metals and mining industry and the financial sector. Ms. Winckler spent 16 years with BHP Billiton where she was involved with corporate and divisional strategy, mergers and acquisitions, divestments, exploration and project evaluation and development. Ms. Winckler’s expertise includes strategic planning, mergers, acquisitions and divestments in the mining sector, as well as IFRS, GAAP, risk management and regulatory reporting.
